Terms of Service

1. About Againli

Againli matches compatible adults into small groups so they can meet in person. These terms govern all of the Againli services described in section 1a, together with the website, your account and your profile. Againli is not a dating service, a networking service or an event marketplace. We do not guarantee friendships, attendance by others, availability, a particular venue, a launch date in your city, or any specific outcome.

Againli is operated by Againli, Inc., a Delaware corporation. In these terms, "Againli", "we", "us" and "our" mean Againli, Inc.. Our registered office and address for legal notices is c/o Legalinc Corporate Services Inc., 131 Continental Dr, Suite 305, Newark, DE 19713, United States.

1a. The Againli services

Different services work in different ways. Three distinctions matter throughout these terms: some experiences are curated offers that we build and offer to you, some let you choose from eligible options we have opened, and some are claimed through Membership rather than bought as Single Tickets. For several services the exact venue or meeting point is assigned or confirmed later, as described in section 5b.

• Membership dinners. The core Membership experience. We match you into a small group for an ongoing Thursday dinner. You choose the Thursdays that suit you, and we build each table around mutual connections where they exist and carefully matched introductions. Booking your first Membership dinner is what activates your Membership and charges the first $19, as described in section 5. A Membership dinner is a curated offer, not a fixed seat you can book without being matched first.
• Women-only Membership dinners. The same Membership dinner model, run with a women-only composition, offered where you are eligible and have asked for it. There is no surcharge. Eligibility is determined from the private sex information on your account. That information is used to decide eligibility and composition for features such as women-only Membership dinners. It is not shown to other members and it is not part of your compatibility score.
• Single Ticket. A standalone one time meetup in a small group, described in section 5a. It is purchased separately and never uses the Membership experience allowance. Membership never reserves a seat or bypasses availability, safety, pause or eligibility rules. You may hold one upcoming Single Ticket at a time, and the location may be assigned after you book.
• Circle. After a Membership dinner or Single Ticket dinner, each person can privately tell us who they would genuinely like to see again. A one-sided choice remains private and is never shared. Where the choice is mutual, we may remember that connection. If you later participate through Membership, it may influence how we build a future Membership dinner. A Circle is not a separate product you buy or book. It is the social network that develops over time from mutual "see again" choices, and it creates no entitlement to a Circle, a particular group, a future Membership dinner or another person's continued participation.
• Belong and Keep Close. Member features that support continuing contact after a shared experience. We reveal a connection only when the choice is mutual, and we do not reveal, hint at or count a one-sided choice back to the other person. While your Membership is active you can use lightweight planning, shared availability, reminders and permitted chat continuity. These features carry no separate price, they depend on an active Membership where the product requires it, and they do not entitle you to further Membership dinners, to any particular person's contact or continued participation, or to any outcome.

We may add, change, limit or withdraw any of these services, and availability depends on your city, your eligibility and the places we have open.

Paused experiences. Againli Pace and Againli Walks, including the mothers walk, are paused. They are not currently sold, bookable or included in anything you buy, and nothing on this page should be read as an offer of them. If we bring them back we will describe them here first.

2. Eligibility

You must be at least 18 years old and able to enter into a contract. One person, one account. You agree to give accurate information, including your first name, date of birth and city, and to keep it current.

3. Accounts and the waitlist

You are not charged for creating an account, joining the waitlist, completing your profile, answers and availability, or waiting for a group. A waitlist place does not guarantee an invitation, a Membership dinner, or a launch date in your city. Attending requires a paid Single Ticket or Membership where offered.

4. Matching, waiting and Membership dinner offers

Matching uses the answers you give and the practical constraints you set. Every proposed Membership dinner group is reviewed by a person before anyone is invited. If we cannot build a group that meets our standards, we keep you in the pool and try again in later matching rounds rather than placing you in a group we do not believe in. We do not guarantee a match, a date, a particular group, a particular venue or any specific timing, and we do not relax our matching, eligibility or safety rules in order to fill a seat.

When a group is ready you receive an offer for a specific Thursday session, with its date and time shown before you accept. An offer is limited in time and can be withdrawn if the group cannot be completed. Offers for a seat are made to one person at a time, so a seat is never promised to two people at once. If someone declines or drops out before a Membership dinner locks, we may offer that seat to another suitable person. Every introduction is reviewed for the future session and is never random filler. Nobody new is added after a meetup has started. We cannot always fill a place, and a Membership dinner can be changed or cancelled if it can no longer run safely or well.

5. Membership and billing

• You are not charged for joining, for being eligible, or for waiting. There is no charge for creating an account, completing your profile, being considered for a Membership dinner, or for an offer you did not accept, that expired, or that you declined.
• Joining Membership saves and authorizes a payment method. No $19 is charged and Membership is not active at that point. Membership activates only when you book your first Membership dinner, and that is when the first $19 is charged and your paid month begins.
• There is one paid plan: Membership at $19 per month. Membership gives you eligibility for ongoing Thursday dinners, with access to up to four Membership dinners during each active month at launch. You choose the sessions that suit you. Separately purchased Single Tickets never use this allowance.
• If the payment for your first Membership dinner fails, Membership does not activate, the booking is not confirmed, and nothing is charged.
• If you cancel that first Membership dinner after the activation payment has already succeeded, your Membership stays active for the month you paid for, unless Againli cancels or refunds it under the Cancellation and Refund Policy.
• If you have saved a payment method for Membership but have not yet booked a first Membership dinner, Membership has never activated and nothing has been charged. You can remove or cancel that saved Membership setup at any time at no charge.
• After that first payment, Membership renews monthly in advance, anchored to the date your Membership activated, until you cancel.
• Payments are handled by our payment provider. We do not store your card details, and we use standard controls to prevent the same purchase being charged twice. If a payment fails, your seat is not confirmed and can be released to someone else.
• Food, drink and travel at a meetup are yours to pay. Membership covers Againli's curation, matching and operation of eligible member experiences.
• Prices can change. We will tell you at least 30 days before a new price applies to your next billing period, and you can cancel before it takes effect at no cost.

5a. Single Tickets

• A standalone Single Ticket is a one time purchase for a single meetup, priced at a USD equivalent of $9. It is not a membership, it does not renew, and there is nothing recurring. It is separate from the Membership experience allowance. Individual dinners and other events are separate purchases from Membership. Members pay the same price for a Single Ticket as everyone else.
• Tickets are offered on selected Thursdays that we open, in any week of the month. Active Membership gives no Single Ticket discount and does not reserve inventory or override any availability, safety, reliability, pause or eligibility rule. You may hold one upcoming Single Ticket meetup at a time.
• We choose the group and the venue. Your group is put together for that one evening. A Single Ticket never activates Membership, never uses the Membership experience allowance, and does not itself create an active Membership Circle or group entitlement. Mutual "see again" choices may be remembered and, if you later participate through Membership, may influence future Membership dinner matching.
• A Single Ticket meetup does not continue into further weeks and never guarantees that another person will appear again. It creates no right to a future Membership dinner, a Circle, an active Membership group or continued matching.
• Availability depends on your city, eligibility and the places we have open. We may decline or cancel a booking.
• Food, drink and travel at the meetup are yours to pay and are separate from the ticket.
• The applicable ticket terms, the price and the refund cutoff are shown before you pay.

Your commitments, safety, conduct, privacy and attendance obligations in these terms apply to Single Ticket meetups in the same way they apply to Membership dinner meetups.

5b. Places, booking times and venues

• Your place is yours alone. Every person attending needs their own account and their own confirmed place. Guests, partners, friends and plus ones cannot be brought to a Membership dinner meetup or a Single Ticket meetup.
• A rolling advance window. Where a service works by opening bookable options, those options are generally shown within a rolling window of about 30 days ahead. Not every service works this way, and the window can change.
• Booking closes before the start. Single Ticket closes 24 hours before the start, Keep Close plans close 12 hours before, and Membership dinner selection closes 48 hours before.
• You can book before a venue exists. For Membership dinners and Single Ticket you commit to the date, the format and the group, not to a specific address. An exact venue or meeting point can be selected, confirmed, changed or revealed after you have booked or accepted.
• Locations are chosen by us and shared with the people attending. A location or meeting point may be assigned, confirmed, changed or revealed later, and when it is shared differs by service. A particular restaurant, cafe, bar, route or meeting point is not guaranteed unless we have explicitly confirmed it to you.
• We can make reasonable substitutions. Where a venue, route, meeting point or activity becomes unsuitable or unavailable, we can substitute something comparable so the experience can still run. This does not affect your mandatory consumer rights or your rights under the Cancellation and Refund Policy, and if we change something materially we tell you.

6. Your commitments

• Follow the Community Guidelines at every meetup and in every Circle conversation.
• Meet the expectations in the Attendance, Late Cancellation and No-Show Policy.
• Keep what other members share inside the Circle. This never prevents you from reporting a safety concern to Againli, contacting emergency services or the police, seeking medical, legal or other professional support, or exercising your legal rights.
• Do not use Againli to sell, recruit, solicit or pursue anyone romantically.
• Do not scrape, copy or misuse the service or other members' information.

7. Safety and enforcement

We can restrict, suspend or close an account as described in Account Suspension and Termination. Serious safety concerns can lead to immediate action before a review is complete.

8. Meetups happen in the real world

Membership dinners meet in public venues chosen for a first meeting. We do not supervise meetups and we are not responsible for the conduct of other members, or for venues and their services. Use ordinary judgement, and tell us if something goes wrong.

9. Your content

You keep ownership of what you write and the photos you upload. You give us permission to use them to operate the service, for example to show your photo to the people in your Membership dinner group before you meet. You are responsible for having the right to upload what you upload.

10. Availability and changes

Againli is under active development during the pilot. Features can change, and parts of the service can be unavailable. We will tell members about material changes to these terms before they take effect, and continued use after that means you accept them.

11. Liability

Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, for fraud, or for your mandatory consumer rights. Subject to that, we are not liable for indirect or consequential loss, and our liability for any claim connected with the service is limited to the membership and one time service fees you paid in the twelve months before the claim.

12. Ending the agreement

You may cancel or ask us to delete your account at any time. We may end this agreement if you breach these terms or the Community Guidelines, or if we stop offering the service in your city.

13. Governing law and disputes

Except where mandatory consumer law says otherwise, these terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country where you habitually reside, and it does not remove any right you have to bring proceedings in, or be sued only in, the courts of that country where applicable consumer law gives you that right. Mandatory consumer rights, including statutory withdrawal, conformity and remedy rights, always apply in addition to these terms.

If you are a consumer and we cannot resolve a complaint between us, your mandatory consumer rights are unaffected, including your right to bring the matter before the courts of the country where you live.
